10. Arbitration Clause and Class Action Waiver
Any dispute arising in connection with your use of the Site, the Services, these Site Terms and Conditions, including but not limited to breach, termination, enforcement, interpretation, or validity thereof, or the relationship between the parties (excluding claims related to the intellectual property rights of Rasma Beauty or our parents, subsidiaries, affiliates, partners, or licensors, or claims in equity) (collectively, “Disputes”), shall be resolved through confidential arbitration. Arbitration entails an arbitrator(s) making the determination, precluding your right to bring the claim to court or have a judge or jury decide it. Additionally, your rights to prehearing exchange of information and appeals may be limited during arbitration.
You and Rasma Beauty mutually agree that the arbitrator, not any federal, state, or local court or agency, holds exclusive authority to settle any disputes regarding the interpretation, applicability, enforceability, or formation of this Arbitration Agreement. This includes claims that all or any part of this Arbitration Agreement is void or voidable. The arbitrator will also decide threshold arbitrability issues, such as whether these Terms and Conditions are unconscionable or illusory, and any defense to arbitration, including waiver, delay, laches, or estoppel. The arbitrator's award is binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the above, you and Rasma Beauty each retain the right to seek injunctive or other appropriate relief in any court of competent jurisdiction to prevent the actual or threatened violation of a party’s intellectual property rights or the intellectual property rights of our affiliates, partners, or licensors, or for any cause of action in equity. Both parties consent to jurisdiction and venue in any such court for these purposes.
Class Action Waiver
You agree that any arbitration or proceeding will be limited to the dispute between us and you individually. This means that (i) no arbitration or proceeding may be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class action basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Should any court or arbitrator determine that the class action waiver in this Section is void or unenforceable for any reason or that arbitration can proceed on a class basis, the entire Arbitration Agreement will be deemed null and void. In such a case, the parties will be considered not to have agreed to arbitrate disputes on a class basis.
